These Terms of Service (“Terms”) govern your access to and use of the Chirp AI Spoken English mobile application, website, and related services (collectively, the “Platform”) provided by Adzvortex Solutions LLP (“we”, “our”, or “us”).

By accessing or using Chirp AI Spoken English (the “App”), you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Eligibility

You must be at least 13 years old to use our services. If you are under 18, you may use the Platform only with parental or guardian supervision.

2. Description of Services

Chirp AI Spoken English helps learners practice and improve spoken English through:

  • Structured spoken-English lessons and learning paths
  • AI conversation practice with Chirp AI
  • Live audio calls and chat sessions with tutors (billed from wallet / talktime)
  • Progress tracking, personalization, and practice tools

These services are for learning and practice only. They do not replace certified language courses, exams, visas, immigration advice, or professional coaching credentials.

3. User Accounts

You may need an account to access certain features.

You agree to:

  • Provide accurate and complete information
  • Keep your login credentials secure
  • Be responsible for all activity under your account

We are not liable for unauthorized access caused by your negligence.

4. Acceptable Use

You agree NOT to:

  • Harass, abuse, or record tutors or other users without permission
  • Share illegal, harmful, discriminatory, or sexual content with minors
  • Copy, modify, or redistribute App content without permission
  • Reverse engineer or attempt to extract source code
  • Interfere with App functionality, servers, payments, or security systems
  • Misuse AI or tutor sessions for spam, fraud, or commercial solicitation

Violation may result in suspension or termination of your account.

5. Intellectual Property

All content on the Platform—including lessons, prompts, designs, logos, and text—is owned by or licensed to Adzvortex Solutions LLP or its tutors and partners.

You receive a limited, non-exclusive, non-transferable license for personal, non-commercial learning use only.

6. Premium Subscriptions & Payments

Some features (such as full lesson access) may require a Chirp AI Premium subscription.

  • Subscriptions may include a trial and then recurring billing
  • Payments may be processed via Google Play Billing and/or Razorpay (including UPI), depending on your device and available payment methods
  • Subscriptions auto-renew unless canceled before the renewal date
  • Purchases are non-refundable except where required by law or the payment platform’s policies

7. Wallet / Talktime

Audio calls and chat sessions with tutors are billed from your in-app wallet (talktime balance), separate from Premium subscription.

  • Wallet top-ups add talktime credit for tutor sessions
  • Balance is consumed while you are connected in a billable session
  • Wallet credits are generally non-transferable and non-refundable

8. Tutors & AI Practice

Tutors are independent instructors using the Platform. Chirp AI practice uses automated systems and may make mistakes. You are responsible for how you use guidance from tutors or AI.

9. Third-Party Services

The App may integrate with or rely on third-party services such as:

  • Google (including Firebase and Google Play)
  • Razorpay and UPI apps
  • Voice / AI providers used for Chirp AI conversations

We are not responsible for third-party services, their content, or their policies.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy.

By using the App, you consent to data collection and usage as described in the Privacy Policy.

11. Learning Disclaimer

Chirp AI Spoken English is not a certified educational institution.

  • Content is for general spoken-English practice and learning
  • We do not guarantee fluency, exam scores, job outcomes, or visa results
  • Always verify important information before relying on it in real-world situations

12. Updates & Changes

We may:

  • Modify or discontinue features
  • Update these Terms at any time

Continued use of the App means you accept the updated Terms.

13. Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • We detect suspicious, abusive, or harmful activity

14. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Use of the App, including AI and tutor sessions, is at your own risk

15. Governing Law

These Terms are governed by the laws of India. Disputes are subject to the jurisdiction of courts in Pune, Maharashtra.
